Advancii Terms of Service

1. Account Access & Security

• Eligibility: You must be at least 18 years old and have the authority to bind your business to these Terms.
• Individual Logins: Access is granted on a per-user basis. Account sharing is strictly prohibited. Each individual user must have their own unique login credentials to ensure security and auditability.
• Responsibility: You are responsible for all activity occurring under your account. If you suspect unauthorized access, you must notify us immediately at admin@advancii.com.

2. Licensing & Services

• Licence Types: We offer various access tiers, including Annual Subscriptions and Project-Based Access. Your specific rights, feature limits, and duration of access will be defined at the time of purchase.
• Modifications: We continuously improve our platform. While we aim for 24/7 availability, we reserve the right to modify or withdraw features. We will provide reasonable notice for any material changes.
• Maintenance: Scheduled maintenance will be communicated in advance whenever possible. Emergency maintenance may occur without prior notice to protect system integrity.

3. User Conduct & Prohibitions

To maintain the integrity of the Advancii ecosystem, you agree not to:

• Upload, post, or transmit any content that is illegal, infringing, or contains malicious code.
• Reverse-engineer, decompile, or attempt to extract the source code of our software.
• Use the Services to develop a competing product or service.
• Use automated systems (bots, scrapers) to extract data from the platform.
• Resell or sub-licence your access to any third party without our express written consent.

4. Our Professional Standard

• Reasonable Care: We provide our Services using reasonable care and skill consistent with industry standards.
• "As-Is" Disclaimer: While we strive for accuracy, the Services are provided on an "as-is" and "as-available" basis. We do not guarantee that the platform will be entirely free of bugs, errors, or interruptions.
• Regulatory Compliance: If changes in UK law (e.g., data protection or financial regulations) affect our Services, we reserve the right to adjust our platform to remain compliant.

5. Fees, Payment & Renewals

• Payment Terms: Fees are payable in advance unless otherwise agreed in a signed Invoice Schedule.
• Late Payments: Failure to pay on time may result in the immediate suspension of your access until the balance is cleared.
• Price Adjustments: We may change our pricing. Any changes will apply to your next renewal period, and we will provide at least 30 days' notice.

6. Intellectual Property & Data

• Our IP: Advancii owns all rights to the software, branding, and proprietary algorithms used in the Services.
• Your Content: You retain ownership of all data and IP details you upload. You grant us a limited, non-exclusive licence to process this data solely to provide the Services to you.
• Privacy: Our use of your data is governed by the Advancii Privacy Policy, which is incorporated into these Terms by reference.

7. Third-Party Interactions

• Introductions: Our platform may facilitate introductions to third parties (e.g., IP insurance brokers or lenders).
• Independent Contracts: Any engagement with a third party is a separate contract between you and them.
• No Endorsement: Advancii is a facilitator and does not guarantee the performance, suitability, or legality of third-party services.

8. Term & Termination

• Termination for Convenience: Either party may terminate an annual subscription by providing six (6) months' written notice.
• Termination for Cause: We may suspend or terminate your access immediately if you breach these Terms.
• Post-Termination: Upon termination, your right to use the Services ceases. You may request a return of your data within 30 days of termination, subject to a reasonable administrative fee.

9. Limitation of Liability

• Cap on Liability: To the maximum extent permitted by law, Advancii's total liability for any claim arising out of these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• Exclusions: We are not liable for any indirect, incidental, or consequential losses, including lost profits, loss of data, or loss of business opportunity.
• Statutory Rights: Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence.

10. Confidentiality

Both parties agree to keep "Confidential Information" (non-public business or technical data) private. This obligation does not apply to information that is already public, required by law to be disclosed, or requested by a regulatory body.

11. General Provisions

• Governing Law: These Terms are governed by the laws of England and Wales.
• Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
• Entire Agreement: These Terms (and any associated Order Form) constitute the entire agreement between us regarding the Services.
• Updates: We may update these Terms. If you continue to use Advancii after changes are posted, you accept the updated Terms.
